1. Acceptance of Terms

Welcome to HealthVaultFamily (hereinafter referred to as "Company", "we", "us", or "our"). These Terms and Conditions ("Terms") govern your use of our software-as-a-service platform, website, and related services (collectively, the "Service").

By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service. These Terms are a legally binding contract between you and the Company.

2. Eligibility

You must be at least 18 years of age and have the capacity to enter into a legally binding contract under the Indian Contract Act, 1872, or the applicable law of your jurisdiction. By using the Service, you represent and warrant that you meet these requirements.

3. Account Registration & Security

• You must provide accurate, complete, and current information during registration.
• You are solely responsible for maintaining the confidentiality of your account credentials.
• You agree to notify us immediately of any unauthorised access or use of your account.
• We reserve the right to suspend or terminate accounts that violate these Terms.

4. Use of the Service

4.1 License Granted

Subject to your compliance with these Terms, we grant you a non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during the term of your subscription.

4.2 Prohibited Conduct

You agree not to:

• Use the Service for any unlawful purpose or in violation of applicable laws.
• Reverse engineer, decompile, or disassemble the Service or any part thereof.
• Copy, modify, or create derivative works based on the Service.
• Remove or alter any proprietary notices or branding.
• Use the Service to store or transmit malicious code, viruses, or harmful content.
• Access or attempt to access any system or network without authorisation.
• Interfere with or disrupt the integrity or performance of the Service.
• Share, sell, rent, or sublicense the Service to third parties.

5. Intellectual Property Rights

This clause is critical to protecting our software and your rights. We have structured it in accordance with established legal principles under the Indian Copyright Act, 1957, and global best practices.

5.1 Our IP

All rights, title, and interest in and to the Service, including but not limited to software, code, algorithms, user interfaces, graphics, trademarks, trade secrets, and any derivative works thereof, are and shall remain the sole and exclusive property of the Company. The Service is protected by copyright, trade secret, and other intellectual property laws.

5.2 Your Content

You retain ownership of all data, information, and materials that you upload, submit, or otherwise make available through the Service ("User Content"). However, by using the Service, you grant us a non-exclusive, worldwide, royalty-free, sublicensable license to use, store, display, and process your User Content solely to provide, maintain, and improve the Service.

5.3 Feedback

If you provide us with any suggestions, feedback, or ideas regarding the Service, you agree that we may use them freely without any obligation to compensate you.

6. Subscription, Billing & Payments

• Pricing: Subscription fees are as set forth on our pricing page and may be updated from time to time with reasonable notice.
• Billing: You authorise us to charge your selected payment method for the applicable fees. All fees are in INR (?) unless otherwise stated and are exclusive of applicable taxes (including GST).
• Auto-Renewal: Subscriptions automatically renew at the end of each billing cycle unless you cancel before the renewal date. You can manage your subscription settings in your account dashboard.
• Refunds: Refunds are provided at our sole discretion. Please review our refund policy before subscribing.

7. Termination & Suspension

• By You: You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of the current billing cycle.
• By Us: We may suspend or terminate your account immediately if you breach these Terms, engage in fraudulent or illegal activity, or fail to pay fees when due.
• Effect: Upon termination, your right to use the Service ceases, and we may delete your User Content after a reasonable period (usually 30 days) unless otherwise required by law.

8. Warranty Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR:

• ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES;
• LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES;
• ANY UNAUTHORISED ACCESS TO OR USE OF OUR SERVERS AND/OR ANY PERSONAL INFORMATION STORED THEREIN.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO US DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

This limitation applies to all causes of action, whether in contract, tort (including negligence), or otherwise.

10. Indemnification

You agree to indemnify, defend, and hold harmless the Company and its personnel from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

• Your use of the Service in violation of these Terms;
• Your violation of any applicable law or regulation;
• Your User Content;
• Your infringement of any third-party intellectual property or other rights.

11. Data Protection & Privacy

Your privacy is important to us. Our collection, use, and disclosure of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. We process personal data in compliance with the Digital Personal Data Protection Act, 2023 (DPDP Act), and applicable global regulations.

By using the Service, you consent to such processing and warrant that all data provided by you is accurate and lawfully obtained.

12. Governing Law & Dispute Resolution

• Governing Law: These Terms shall be governed by and construed in accordance with the laws of the Republic of India, without regard to its conflict of law principles.
• Jurisdiction: Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts in Mumbai, Maharashtra, India.
• Dispute Resolution: The parties shall attempt to resolve any dispute amicably through good-faith negotiations. If the dispute cannot be resolved within 30 days, it shall be referred to mediation in accordance with the rules of the Indian Mediation Council, and if not resolved, to arbitration in accordance with the Arbitration and Conciliation Act, 1996.

13. Miscellaneous

• Force Majeure: We shall not be liable for any delay or failure to perform due to causes beyond our reasonable control.
• Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
• Waiver: Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.
• Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and the Company regarding the Service.
• Amendments: We may update these Terms from time to time. We will notify you of material changes via email or through the Service. Your continued use of the Service after such changes constitutes your acceptance of the updated Terms.
